Terms of Service

1. Acceptance of Terms

By accessing or using Fodika's platform, Services, or any white-label application powered by Fodika, you agree to be bound by these Terms of Service. If you do not agree, do not use our Services.

2. Description of Services

Fodika provides a loyalty infrastructure platform for restaurants, including white-label mobile apps, web ordering apps, loyalty engines, gamification systems, WhatsApp-based ordering, and merchant analytics dashboards. Services are provided under a SaaS subscription model or white-label license agreement.

3. Merchant Accounts

Restaurant merchants who subscribe to Fodika's Services are responsible for maintaining the security of their account credentials, ensuring accurate menu and pricing information, and complying with applicable local laws regarding food service, consumer protection, and data privacy.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose.
• Attempt to reverse-engineer, decompile, or extract source code from Fodika's platform.
• Interfere with or disrupt the integrity or performance of the Services.
• Use the Services to transmit spam, malware, or fraudulent content.
• Misrepresent your identity or affiliation with any restaurant or brand.

5. Intellectual Property

Fodika and its licensors own all intellectual property rights in the platform, including software, design systems, loyalty engine algorithms, and branding. White-label merchants receive a limited, non-exclusive, non-transferable license to use Fodika's platform under their own brand for the duration of their subscription.

6. Subscription & Payment

Subscription fees are billed monthly in advance. All fees are non-refundable except where required by law. Fodika reserves the right to modify pricing with 30 days' written notice. Failure to pay may result in suspension of Services.

7. Limitation of Liability

To the maximum extent permitted by law, Fodika shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Services. Our total liability to you shall not exceed the amounts paid by you in the 12 months preceding the claim.

8. Termination

Either party may terminate the agreement with 30 days' written notice. Fodika may terminate or suspend access immediately for material breaches of these Terms. Upon termination, merchant data will be available for export for 30 days, after which it will be deleted.

9. Governing Law

These Terms are governed by the laws of the Arab Republic of Egypt. Any disputes shall be resolved in the competent courts of Cairo, Egypt.
